These Terms of Use (“Terms”) govern your access to and use of the ThryvePay website at thryvepay.us (the “Site”), operated by ThryvePay, a service of Thryve Advisors LLC (“ThryvePay,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Eligibility

You must be at least 18 years old to use the Site. If you use the Site or submit an application on behalf of a business, you represent that you are authorized to act for that business and to bind it to these Terms.

The Site is informational; not an offer

Content on the Site is provided for general informational purposes and does not constitute a binding offer of payment services. Rates, pricing, hardware, and program features described on the Site are illustrative, may vary by business, and are subject to change. Any merchant services we provide are governed by a separate merchant services agreement and are subject to underwriting review and approval. In the event of a conflict between the Site and your merchant services agreement, the merchant services agreement controls.

Applications and accuracy of information

When you submit an application or other information through the Site, you represent that the information is accurate, current, and complete, and that you are authorized to provide it, including any information about business owners or principals. We may verify the information you provide through third-party sources. Approval is not guaranteed and is subject to underwriting by our processing partner.

Acceptable use

You agree not to:

• Use the Site for any unlawful, fraudulent, or unauthorized purpose.
• Attempt to gain unauthorized access to the Site, its systems, or other users' information.
• Interfere with or disrupt the Site, including by introducing malware or by scraping, harvesting, or using automated means without our permission.
• Reverse engineer or attempt to derive source code from the Site.
• Infringe our or any third party's intellectual property or other rights.
• Misrepresent your identity or your affiliation with any person or business.

Intellectual property

The Site and its content, including text, graphics, logos, and trademarks, are owned by ThryvePay, Thryve Advisors LLC, or their licensors and are protected by applicable laws. We grant you a limited, revocable, non-exclusive license to access and use the Site for your own informational and business purposes. All rights not expressly granted are reserved.

Third-party services and links

The Site may integrate or link to third-party services that we do not control, including our payment processing partner and scheduling and analytics providers. We are not responsible for the content, policies, or practices of third parties, and your use of their services may be subject to their own terms.

Disclaimers

The Site is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Site will be uninterrupted or error-free, that any savings estimate will be achieved, or that any application will be approved.

Limitation of liability

To the fullest extent permitted by law, ThryvePay and Thryve Advisors LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or relating to your use of the Site, even if advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless ThryvePay, Thryve Advisors LLC, and their officers, employees, and agents from any claims, liabilities, damages, and expenses arising out of your use of the Site, your submissions, or your violation of these Terms.

Governing law and disputes

These Terms are governed by the laws of the United States and the state in which Thryve Advisors LLC is organized, without regard to conflict-of-laws principles. Before bringing any formal dispute, you agree to first contact us so that we can try to resolve it informally.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site after an update constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
